SANTA CLARA, CA – August 11, 2026 (STL.News) Intel Corporation (Ticker: INTC) has priced an upsized $20 billion public offering of common stock, increasing the size of the transaction from the $15 billion offering announced a day earlier as the semiconductor giant moves to fund an ambitious expansion of its manufacturing footprint and capitalize on growing demand for artificial intelligence infrastructure. The transaction represents one of the largest equity offerings in Intel’s history and underscores management’s confidence in the company’s long-term growth strategy despite the near-term dilution to existing shareholders.

Intel announced it priced 210,526,315 shares of common stock at $95.00 per share, generating approximately $20 billion in gross proceeds before underwriting discounts and expenses. The company also granted the underwriters a 30-day option to purchase up to 31,578,947 additional shares, which could further increase the size of the transaction if fully exercised. The offering is expected to close on Aug. 12, 2026, subject to customary closing conditions.

The pricing follows INTC’s announcement on Monday that it intended to raise approximately $15 billion through a public stock offering. Strong institutional demand allowed the company to increase the size of the transaction by roughly one-third before pricing, highlighting investor confidence in Intel’s turnaround strategy under Chief Executive Officer Lip-Bu Tan.

Strong demand drives larger offering

The stock was priced at $95 per share, representing approximately a 2.6% discount to Intel’s previous closing price of $97.52, a common practice in large underwritten equity offerings designed to attract institutional investors while ensuring successful execution.

If the underwriters exercise their full over-allotment option, Intel would issue nearly 242.1 million new shares, increasing the total gross proceeds beyond $20 billion.

After underwriting discounts, commissions, and estimated offering expenses, Intel expects to receive approximately $19.7 billion in net proceeds, assuming the underwriters do not exercise the additional share option.

Funding an AI-driven expansion

Intel said it intends to use the proceeds for general corporate purposes, including capital expenditures and working capital.

While that language is standard in securities offerings, the financing comes as Intel accelerates investments in several strategic initiatives, including:

  • Advanced semiconductor manufacturing facilities;
  • AI-focused server processors;
  • Foundry services for third-party chip designers;
